Its a simple method follow these steps:
1) First create any batch file like filename.bat
2) Download Bat To Exe Converter from: download.cnet.com
3) With this software you can convert batch file to exe and you can change icon for that exe file
for that goto versioninformations and select the icon.
4) After selecting file and icon click on compile . Its all done.
